General Counsel - Lausanne/Prilly Malley or Zurich (Switzerland)
Position Summary
We are looking for a highly experienced and strategically minded legal professional to serve as General Counsel. The successful candidate will act as a strategic legal advisor and a trusted partner to senior management, Board of Directors and senior leadership, overseeing a broad range of legal, regulatory, governance, compliance and strategic business matters while supporting the company’s operational and commercial objectives. This is a key position within the company; the General Counsel works closely with the Management Board and Board of Directors and being actively involved in both strategic projects and the day-to-day business and operations of the organization. The position requires close involvement in executive decision-making processes and regular interaction with Management Board, the Board of Directors, shareholders, regulatory authorities, and key external stakeholders. The role includes leading the Company’s legal and regulatory function, managing a team of three experienced legal professionals and one senior regulatory affairs manager and partnering closely with senior leadership across the organization. In addition, the role will serve as Company Secretary, Secretary to the Board of Directors and oversee all corporate governance matters, ensuring the highest standards of governance, compliance, and risk management across the organization. Reporting to the Deputy CEO / CFO, this role requires a pragmatic, hands-on, and commercially minded lawyer with strong expertise in Swiss law and the ability to operate in a dynamic and regulated industry environment. Key Responsibilities

  • Develop and implement the Company’s legal and regulatory strategy in alignment with the corporate objectives and business priorities

  • Serve as principal legal advisor to the CEO, Deputy CEO / CFO, Management Board, Board of Directors, and senior business stakeholders
  • €¢
  • Provide strategic, pragmatic, and commercially focused legal advice across all areas of the company’s activities
  • €¢
  • Exercise sound judgment and provide clear guidance on complex and sensitive matters, including situations requiring firm or unpopular positions while preserving constructive stakeholder relationships
  • €¢
  • Lead, coach and develop a high-performing legal and regulatory team, fostering a collaborative and solution-oriented environment
  • €¢
  • Act as Company Secretary, advise on corporate governance matters and support interactions with the Board of Directors and shareholders
  • €¢
  • Support and advise on key strategic initiatives, commercial projects, and operational matters
  • €¢
  • Ensure compliance with applicable Swiss laws and regulatory

    REQUIREMENTS


    Proactively identify legal, regulatory and business risks to the Company and develop effective risk mitigation strategies

  • Advise on governance and risk management matters
  • €¢
  • Represent the company vis-à-vis of authorities, business partners, legal counterparties and industry associations
  • €¢
  • Advise on all relevant areas of the law, including corporate, commercial, employment, competition, data protection, financing and infrastructure matters
  • €¢
  • Draft, review, and negotiate a wide range of commercial agreements and strategic arrangements
  • €¢
  • Support business transformation initiatives, partnerships, and strategic projects
  • €¢
  • Manage litigation, disputes, and external counsel relationships
  • €¢
  • Build and manage strong national and international professional networks to identify relevant legal, regulatory and industry developments
  • €¢
  • Monitor legal and regulatory developments impacting in particular the telecommunications sector
  • €¢
  • Collaborate closely with cross-functional teams, finance, HR, commercial, and technology departments
    Profile
  • €¢
  • Qualified Swiss lawyer, admitted to the Swiss bar
  • €¢
  • Significant senior-level legal experience, ideally gained in-house and/or within a leading law firm
  • €¢
  • Proven leadership experience managing, developing and mentoring a high-performing legal and regulatory team
  • €¢
  • Strong knowledge of Swiss commercial and corporate law
  • €¢
  • Proven track record advising senior executives, boards of directors, and shareholders on strategic legal, regulatory and governance matters
  • €¢
  • Experience within the telecommunications, technology, or other regulated industries is highly valued
  • €¢
  • Regulatory parcours professionnel is considered as strong advantage
  • €¢
  • Business-oriented mindset with strong commercial acumen, excellent judgment and communication skills
  • €¢
  • Ability to proactively identify legal and business risks and implement practical risk mitigation strategies
  • €¢
  • Ability to operate autonomously while partnering effectively with senior stakeholders in a fast-paced environment
  • €¢
  • Excellent communication, negotiation, and stakeholder management skills with the ability to influence at executive and board level
  • €¢
  • Strong problem-solving capabilities with a pragmatic and solution-oriented approach
  • €¢
  • Ability to make sound and forward-thinking business decisions, take clear positions on complex matters, and maintain effective relationships in challenging situations

  • Fluent German and English are mandatory
  • €¢
  • French is considered a major asset
